CONTRACT TERMS & CONDITIONS

SERVICES

The Contract between Vantage Website Studios and the client is based on these Terms and Conditions to the exclusion of all other terms and conditions. Any variations to these conditions will have to made and accepted in writing.

Commencement of the work contained within this contract will only take place upon receipt of a signed contract and deposit.

Acceptance of the work will be via email or in writing and the client cannot reject the work after it has been accepted.

Every effort will be made to achieve a deadline but time is not of the essence and any deadlines given are approximate only.

Vantage Web Studios, at their discretion, has every right to refuse to provide a service in the event that they consider the material to be illegal or offensive. If this is found to be the case then the deposit will not be refundable.

The images purchased on behalf of clients are for use on the website only and are not for distribution. Vantage Web Studios are not liable for misuse of these images. Vantage Web Studios retains ownership of all images, artwork and other works provided by us.

Vantage Web Studios will rely on the accuracy of the content provided and ultimately checked by the client and will not be held liable for inaccuracies.

Domain names will be registered on your behalf. To be able to manage the service efficiently the name will be registered to Vantage Web Studios and ownership will be transferred to the client upon cancellation of the contract.

PRICE & PAYMENT

A deposit of 25% is required prior to commencement of any project.
The balance payment will be due upon completion of the finished product. Upon receipt of the balance payment, Vantage Web Studios will organise hosting and domain name registration and upload the finished version of the website online.

In the event of non-payment or any part thereof Vantage Web Studios reserves the right to suspend performance of the services or terminate the agreement. Vantage Web Studios will not be held liable for any losses, claims, damages, delays or expenses incurred by the Client arising out of or in connection with Vantage Web Studios suspending the performance of the Services or termination of this Agreement.

All fees are subject to change

PACKAGES

The total development hours in respect of a Startup Package is 20 hours maximum ? additional hours required to complete the project will incur an additional rate of £50 per hour.
The total development hours in respect of a Business Package is 40 hours maximum ? additional hours required to complete the project will incur an additional rate of £50 per hour.
The total development hours in respect of an E-Commerce Package is 80 hours maximum ? additional hours required to complete the project will incur an additional rate of £50 per hour.

HOSTING & MAINTENANCE SUBSCRIPTIONS

Clients that subscribe to a ?HOSTING & MAINTENANCE SUBSCRIPTIONS? will be eligible for website hosting for a 12 month period which will take effect from the website going live. We cannot guarantee that the website will be online 100% of the time more especially in the event of a technical failure which is beyond our control or when we are carrying out website updates. Hosting renewal will be paid through the Maintenance Package Direct Debit arrangement ? in the event of non-payment then Vantage Web Studios have the right to deactivate any website at their discretion.

Clients that subscribe to a ?HOSTING & MAINTENANCE SUBSCRIPTIONS? will be eligible for up to a maximum of 4 hours a month of maintenance at the clients request. Each session of work done will be rounded up to the nearest hour.

Clients that subscribe to a ?HOSTING & MAINTENANCE SUBSCRIPTIONS? will be eligible to Search Engine Optimisation. Whilst every effort will be made in this respect, Vantage Web Studios cannot guarantee any specific placement or high ranking on search engines.

CONFIDENTIALITY

Vantage Web Studios will operate a strict code of confidence in respect of information that is made known and will not share this information with any 3rd party ? click here to view our Privacy Policy.

COMMUNICATION

Vantage Web Studios accepts no responsibility in respect of inadvertent misdirection or non-delivery of emails.

Vantage Web Studios accepts no responsibility for problems that may occur in the event that emails that may be commercially sensitive or are private and confidential are misdirected

Vantage Web Studios strongly recommends that clients carry out a virus check on emails and any attachments received.

LIMITATION & LIABILITY

Nothing in these Terms & Conditions shall restrict or exclude our liability for death or personal injury resulting from our negligence. Nothing in these Terms & Conditions shall restrict or exclude our liability for fraud. We also do not exclude or limit any liability which may not be lawfully excluded or limited.

We shall not be liable to you for consequential, special, incidental or indirect losses, or the following losses whether direct, consequential, special, incidental or indirect losses: loss of profits; loss of revenue; loss of business or contracts; loss of anticipated savings or goodwill; loss of data; (or any losses arising from a claim by a third party for any of the above losses) whether arising under contract, tort (including without limitation, negligence), or otherwise.
Subject to Clause (1) and (2), our aggregate liability for all claims arising under or in connection with these Terms & Conditions (whether arising under contract, tort (including without limitation negligence) or otherwise) shall be limited to paying you the charges which are shown on the contract (subject to our ability to correct any mistakes) as payable by us to you in accordance with these Terms and Conditions.

Our fees have been calculated on the basis that we will exclude and limit our liability as set out in these Terms & Conditions, and you agree that such limitations and exclusions of liability are therefore reasonable.
